Deals close, stocks delist, and a franchisee fails on the same filing day

Kimberly-Clark closed its Kenvue acquisition, Supernus left Nasdaq after its merger, and Bloomin' Brands moved to buy back 61 franchise restaurants out of bankruptcy.

Key facts

  • Kenvue delisted its common stock from the NYSE and all 12 of its directors resigned at closing, the company says. Self-reported m:…1184
  • Supernus Pharmaceuticals completed its merger on November 2, 2026, and Nasdaq suspended trading in its stock the same day, the company says. Self-reported m:…9400
  • Bloomin' Brands franchisee Out West filed for Chapter 11 on November 2, 2026, covering 61 Outback Steakhouse restaurants in the western United States, the company says. Self-reported m:…4492

A large acquisition closes

The largest item in the batch is a completed acquisition, not an announcement. Kimberly-Clark completed its acquisition of Kenvue on November 2, 2026, the company says in its filing. Kenvue shareholders received 0.14625 Kimberly-Clark shares and $3.50 in cash per share, and Kimberly-Clark issued approximately 281,060,840 shares of common stock for the merger. Kenvue's own filing confirms the same consideration and says the surviving company changed its name to Kenvue LLC, now a wholly owned part of the combined group. m:…3497

The cost of combining the two companies is large and spread over years. Kimberly-Clark says its Kenvue Integration Program is expected to cost $3.1 billion in pre-tax charges, split between $2.5 billion in cash charges and $0.6 billion in non-cash charges, plus $1.4 billion in capital spending through 2029. Those figures are company estimates, not incurred costs, and they frame the deal's real test: whether integration savings and operations justify spending of that scale. The filing also records leadership and governance changes, with Richard E. Allison Jr., Larry J. Merlo and Kirk L. Perry joining the Kimberly-Clark board, and Mae C. Jemison, Christa S. Quarles and Jaime Ramirez resigning from it. m:…3497

Executive incentives were reset at closing. Chief executive Michael Hsu received a $6.6 million performance-based stock option award, chief financial officer Nelson Urdaneta received $2.15 million, and Jeffrey Melucci received $1.8 million, the filing says. The board also amended the 2021 Equity Participation Plan to allow substitute awards and amended the by-laws on stockholder proposals and director nominations. On the Kenvue side, the company terminated its $4.0 billion senior unsecured revolving credit facility with JPMorgan Chase, terminated its long-term incentive and director fee plans, and said the surviving company assumed obligations under the indenture for seven series of outstanding notes. m:…3497

Two stocks leave the exchanges

For Kenvue shareholders, closing meant exit from public markets. Kenvue notified the NYSE to suspend trading and delist its common stock, and all 12 of its directors resigned effective at closing, the filing says. It also entered an agreement with general counsel Matthew Orlando providing tax-neutral compensation for excise taxes, capped at $8 million. Kimberly-Clark says it funded the cash consideration with cash on hand, debt financing and proceeds from selling a 51% interest in its International Family Care and Professional business. Delisting here is the mechanical result of a completed merger, not a market judgment on the company. m:…1184

Supernus Pharmaceuticals followed the same pattern on the same day. The company says it consummated its merger on November 2, 2026, and Nasdaq suspended trading in its common stock effective that day. It intends to file Form 25 to delist from Nasdaq and Form 15 to deregister its stock and suspend its reporting obligations. The filing does not name the merger counterparty in the cited claims, so this story does not name one. What is clear is the outcome: a second public company ended its listed life on November 2 through a completed deal. m:…9400

A franchisee fails, and the franchisor bids

The counterweight to the closings is a failure. Cerca Trova Restaurant Group Holdings, which operates as Out West, filed for Chapter 11 bankruptcy in Delaware on November 2, 2026, the Bloomin' Brands filing says. Out West operates 61 Outback Steakhouse restaurants in the western United States. Bloomin' Brands entered a stalking horse agreement to acquire substantially all of Out West's assets, setting a floor bid that other qualified bidders can beat. The base purchase price is $26.3 million, subject to adjustments for debtor-in-possession facility usage and vendor liabilities. m:…4492

Bloomin' Brands also agreed to provide up to $5.5 million in non-interest-bearing debtor-in-possession financing to Out West, the filing says. The outside closing date for the asset agreement is January 31, 2027, and the agreement includes a break-up fee payable to Bloomin' Brands if another bidder wins. The filing adds that a 2023 agreement between the two companies provided for automatic termination on a bankruptcy filing, but the Chapter 11 filing stayed that termination. The sequence matters: the franchisor is funding the bankruptcy process while bidding to take the restaurants back, and the court process will decide whether a higher bid appears. m:…4492

What is still unresolved

  • Whether integration spending at Kimberly-Clark tracks its $3.1 billion estimate through 2029
  • Who the Supernus merger counterparty is, since the cited claims do not name it
  • Whether another bidder outbids Bloomin' Brands for the Out West assets before January 31, 2027
