## Buying the lease

Brookdale Senior Living is buying its landlords out. The company says it entered a definitive agreement to acquire 30 leased communities for $290.0 million, with the deal expected to close during the fourth quarter of 2026. The company says the acquisition is expected to reduce 2027 annual cash rent payments by about $17.8 million. It is the clearest version of a shift running through senior housing this quarter: operators would rather own the buildings than keep paying rent on them. [cites: 1793965031515257143]

Brookdale's quarter gives the deal its context. Adjusted EBITDA was $124.3 million for the third quarter, a 12% increase over the third quarter of 2025. Weighted average occupancy improved by 130 basis points year over year to 83.1%, and consolidated RevPAR grew 7.5%. The company still reported a net loss of $13.9 million for the quarter. It updated full-year 2026 guidance to $495 million to $502 million of adjusted EBITDA, and says it revised guidance because of slower occupancy growth, marketing investments and a fire at its Clinton, Mississippi community. It received about $180 million of cash proceeds for communities sold in 2026 to date — selling some buildings while buying others, and reshaping the portfolio toward the ones it wants to own. [cites: 1793965031515257143]

## The operating shift

Sonida Senior Living is doing the same thing at a smaller scale and a faster pace. The company says it purchased six communities in October 2026 for an aggregate $135.5 million, after acquiring one senior living community in Florida for $14.7 million in September. It reported adjusted EBITDA of $46.8 million for the quarter, a 26.2% increase over pro forma third-quarter 2025, and normalized funds from operations of $23.1 million. It also reported a net loss attributable to common shareholders of $34.3 million for the quarter. [cites: 1793882070959238182]

Sonida is funding the expansion with debt and equity at the same time. It entered a $380 million term loan agreement with Ally Bank on August 7, 2026, with a five-year maturity, two one-year extension options and an interest rate of SOFR plus 185 basis points. It sold $39.2 million in common stock through its at-the-market program during the quarter and $28.8 million more in October, and recognized a $4.4 million loss on debt extinguishment in the quarter related to repayment of a bridge facility. Buying buildings with borrowed money and new shares only works if the operations inside them keep improving — and Sonida's EBITDA growth is the evidence it offers that they are. [cites: 1793882070959238182]

LTC Properties shows the same shift from the landlord's side. The company says its Seniors Housing Operating Portfolio, known as SHOP, now represents 45% of annualized net operating income, and it has acquired $1.3 billion in assets since launching the platform in May 2025. It increased its 2026 SHOP investment mid-point guidance to $1 billion from $900 million, and narrowed 2026 SHOP net operating income guidance to $73.5 million to $76.4 million. Total revenues were $115.2 million for the quarter, diluted core funds from operations were $0.71 per share, and the company reaffirmed full-year guidance for diluted core funds from operations of $2.76 to $2.78 per share. Net income available to common stockholders was $346.4 million. It entered a new $500 million equity distribution agreement in the quarter, and total pro forma liquidity is $903 million, including $11 million in cash and $402 million available under its at-the-market program. ## The lender's warning

The other side of this market is less cheerful. Starwood Property Trust, a large property lender, says it reported a third-quarter GAAP net loss of $389.7 million, including a $336.6 million credit loss provision and $32.2 million of non-cash property impairments. Distributable earnings were $116.8 million for the quarter, or $155.2 million before realized commercial lending gains and losses. The company still invested $3.2 billion in the quarter, $8.2 billion in the first nine months of 2026, including $2.4 billion of commercial lending investments in the quarter. It repurchased $108 million of common shares and declared a dividend of $0.48 per share. [cites: 1793966321599261958]

Read together, the four filings describe one market with two moods. Operators are buying buildings, raising operating income and shifting to running the properties themselves. Their lender is still putting money to work — $3.2 billion in a quarter — while writing down $336.6 million of credit losses on the book it already holds. The operators' bet is that owning and operating beats renting. The lender's provision is the reminder that not every loan behind that bet will pay off. ## What is still unresolved

- Whether Brookdale's $17.8 million in expected annual rent savings materializes in 2027, and what the 30 communities earn once owned rather than leased.
- Whether Sonida's pace of acquisitions can be funded without further dilution, given $68 million of stock sold through its at-the-market program in the quarter and October.
- Which loans sit behind Starwood's $336.6 million credit loss provision, and whether more provisions follow.

## Decision card

- **Useful for:** Investors in senior housing operators and REITs; Lenders pricing property credit
- **Not for:** Readers looking for a call on senior housing occupancy next year
- **Compare against:** Prior-quarter occupancy, RevPAR and SHOP figures from the same companies; Other property lenders' credit provisions this quarter
