## The week's two big deals

Defense technology consolidated at scale this week, and the money arrived from every direction at once. Shield AI agreed to buy radar maker Echodyne for $5.3 billion while raising $2.5 billion at a $28.8 billion valuation. Axon put $1.2 billion into drone maker Skydio. Kratos reported a record $2.65 billion backlog. The pattern is hard to miss: sensors, drones and the software that ties them together are being assembled into a small number of large platforms, and both private capital and the government are paying for the assembly. [cites: 1793900814050378636, 1793913770306771963, 1793912906099787183]

Shield's deal is structured to close in early 2027, subject to regulatory approvals, with $4.8 billion paid at closing and up to $500 million tied to performance targets. The $2.5 billion raise breaks into $1 billion of Series H equity at a $28.8 billion post-money valuation, a $1 billion structured investment from Blackstone, and $500 million of debt financing led by JPMorgan Chase Bank. Echodyne's radars are already built into hundreds of systems. Madrona, which put $5.5 million into Echodyne's first round in 2014, says the company has scaled production to 30,000 radars a year from a new 86,350-square-foot plant in Kirkland, Washington, and won a contract worth up to $250 million from Interagency Task Force 401 in September 2026. [cites: 1793912368540654920, 1793900814050378636, 1793908395172660789]

Axon's move is an investment rather than a buyout, but it is nearly as large. The company reported third-quarter revenue of $909 million, up 28% from a year earlier, with software and services revenue up 43% to $437 million and adjusted EBITDA up 33% to $236 million. Its $1.2 billion investment lifts its Skydio stake to 37% and comes with exclusive public safety distribution rights in the United States and Canada. The company also says its AI annual recurring revenue has passed $100 million. The one soft spot is federal business: Axon cut its full-year revenue outlook by about $130 million because of delays in federal Dedrone deployments, though it still expects full-year revenue growth of about 30%. ## The order books

The order books behind the deals look strong. Kratos reported third-quarter revenue of $471.8 million, up 35.7% from a year earlier, with a book-to-bill ratio of 2.2 to 1 and a record backlog of $2.65 billion. Its bid pipeline stood at $15.5 billion, and the company gave initial 2027 guidance of $2.1 billion to $2.2 billion in revenue. Unusual Machines, a much smaller drone-parts supplier, reported revenue of $13.9 million, up 551% from a year earlier, on a 35.4% gross margin, with a $16.9 million order from Powerus and $162 million in cash. It still lost $25 million in the quarter, mostly on non-cash items, and its adjusted EBITDA loss was about $0.7 million. Management expects positive adjusted EBITDA in 2027. [cites: 1793912906099787183, 1793912589057535920]

## The government is paying for capacity

Government money is flowing into capacity, not just contracts. LeoLabs secured a conditional loan commitment of up to $150 million from the Department of War's Office of Strategic Capital to expand radar manufacturing, with two large facilities planned by 2028 and dozens of systems to be added to its network by 2030. Forterra and May Mobility advanced to Phase III of the Department of War Innovation Unit's ROADS challenge, a program worth up to $30 million that will test commercial self-driving vehicles on military bases. Forterra has fielded more than 250 autonomous systems for department programs, and May Mobility has delivered more than 550,000 commercial autonomous rides across 1.1 million miles. [cites: 1793895045674508198, 1793889303784551950]

## What to watch

The logic of the week is vertical: whoever owns the sensor, the drone and the distribution can sell a finished capability rather than a component. That is what Shield is buying, what Axon is buying into, and what Kratos's backlog already reflects. The risks are execution and timing. Shield's deal still needs regulatory approval, Axon's federal delays show government demand does not arrive on schedule, and Unusual Machines is still spending to grow. But the direction is clear: defense technology is no longer a collection of startups waiting to be acquired. The acquisitions have started, and they are large. [cites: 1793912368540654920, 1793913770306771963, 1793912589057535920]

## What is still unresolved

- Whether regulators clear Shield's acquisition of Echodyne, and on what timeline.
- The closing timeline for Axon's Skydio investment beyond the announcement.
- How the Upgrade Energy integration affects Unusual Machines' margins in the fourth quarter.

## Decision card

- **Useful for:** VCs tracking defense-tech exits and consolidation; Bankers watching defense M&A and government financing
- **Not for:** Anyone looking for near-term public-market defense earnings
- **Compare against:** Axon's Skydio investment versus Shield's Echodyne acquisition — minority stake versus buyout
