## Refineries change hands

Marathon Petroleum is selling its St. Paul Park and Mandan refineries for $4.2 billion, the company says, and CVR Energy has signed a definitive agreement to buy them. Both companies expect the deal to close by the end of 2026. The swap is the clearest single move in a quarter of energy portfolio reshaping: one refiner exits two plants while another adds them. [cites: 1793711324654004088, 1793712761797646188]

The company says Marathon reported third-quarter 2026 net income attributable to MPC of $7.4 billion and adjusted EBITDA of $11.7 billion. The company says it plans to reinvest the sale proceeds primarily in the Gulf Coast, and its 2026 capital spending outlook, excluding MPLX, is $1.5 billion. The company says it also redeemed $749 million of senior notes due in December 2026 on September 15, 2026. [cites: 1793711324654004088]

The company says CVR reported third-quarter net income attributable to stockholders of $570 million and adjusted EBITDA of $582 million. Its petroleum segment reported net income of $746 million for the three months ended September 30, 2026, on throughput of 227,637 barrels per day, while its nitrogen fertilizer segment reported a net loss of $11 million. The company says an EPA waiver for Wynnewood Refining removed a $253 million liability from its balance sheet for the 2025 compliance period. [cites: 1793712761797646188]

MPLX, Marathon's midstream arm, is selling logistics assets for $750 million in conjunction with the refinery sales, the company says, with the sale expected to close at the end of 2026. The company says MPLX reported third-quarter net income attributable to MPLX of $1,164 million and adjusted EBITDA of $1,859 million, and increased its quarterly distribution by 12.5% for the third consecutive year, to $1.2111 per common unit. Marathon added an incremental $5 billion share repurchase authorization and a 10% increase in its quarterly dividend, the company says. [cites: 1793711324531006927, 1793711324654004088]

## Capital moves toward pipes and gas

Energy Transfer is putting its money into pipes. The company says it agreed to acquire Vaquero Midstream for about $2.6 billion and reached a positive final investment decision on the 215-mile South Mississippi Pipeline Project, at an expected cost of $1.6 billion. The project is expected to carry 1.2 Bcf/d and enter service in 2030. [cites: 1793711818286606583]

The company says Energy Transfer reported net income attributable to partners of $1.21 billion for the three months ended September 30, 2026, and adjusted EBITDA of $5.03 billion, up 31% from the same period in 2025. Distributable cash flow attributable to partners was $2.52 billion, against $1.90 billion a year earlier. The company says it raised full-year 2026 adjusted EBITDA guidance to $19.7 billion to $19.9 billion and declared a quarterly distribution of $0.3425 per common unit. [cites: 1793711818286606583]

The company says Energy Transfer expects to invest $5.4 billion to $5.6 billion in growth capital in 2026 and about $7 billion in 2027, and redeemed $900 million of preferred units in August 2026. MPLX is moving the same way: the company says it is investing $2.9 billion of organic growth capital in energy infrastructure, with more than 90% of it going to natural gas and natural gas liquids infrastructure, and its Harmon Creek III processing plant began operations in August 2026. [cites: 1793711818286606583, 1793711324531006927]

## Producers buy drilling inventory

Upstream, the deals run the other way: producers buying assets rather than selling them. The company says Ovintiv agreed to acquire Logan Energy for about $890 million, while reporting third-quarter net earnings of $549 million and $680 million in non-GAAP free cash flow. The company says it returned $467 million to shareholders in the quarter and kept its full-year 2026 production guidance unchanged. [cites: 1793743611828774942]

The company says Talos Energy completed its purchase of deepwater assets from Shell on September 22, 2026, for a net cash price of $420 million. The company says Talos produced 91.5 thousand barrels of oil equivalent per day in the quarter and raised the midpoint of its full-year production guidance to 93.5 thousand barrels per day. It expects first oil from the Monument development in the first quarter of 2027, and has also moved into an offshore Honduras block and a farm-in on Block 29 offshore Mexico with Repsol. [cites: 1793743647548628859]

The company says Talos reported a net loss of $81.2 million for the quarter even as it generated $186.3 million in adjusted free cash flow, and repurchased 1.4 million shares for $23.6 million. The company says Ovintiv's net debt was $3.4 billion at September 30, 2026, a ratio of 0.7 times adjusted EBITDA, while Talos put its net debt to LTM adjusted EBITDA at 0.6 times. [cites: 1793743647548628859, 1793743611828774942]

## What the reshuffle suggests

Read together, this suggests a sorting-out rather than a retreat: a refiner shedding plants it no longer wants to run, midstream companies doubling down on gas pipes and processing, and producers spending on inventory they can drill. The buyers and sellers are not moving in the same direction, and that is the point. Each part of the chain is being repriced on its own terms. [cites: 1793711324654004088, 1793711818286606583, 1793743611828774942]

What is not yet known matters as much. The Marathon-CVR and MPLX sales are expected to close at the end of 2026, so the reshuffle is announced more than completed, and the filings do not say what happens if timing slips. Energy Transfer's growth capital of about $7 billion for 2027 and its pipeline start date of 2030 also stretch well beyond this quarter's results. [cites: 1793711324654004088, 1793711818286606583]

## What is still unresolved

- Whether the Marathon-CVR refinery deal and the MPLX logistics sale close by the end of 2026 as expected.
- What specific Gulf Coast projects Marathon will fund with the divestiture proceeds.
- Whether Energy Transfer's higher 2027 growth capital spending delivers the guided EBITDA range.

## Decision card

- **Useful for:** Bankers tracking energy asset sales and midstream capital plans; Investors comparing how refiners, midstream firms and producers are deploying cash
- **Not for:** Anyone looking for a recommendation on any named energy stock; Readers who need reserve or valuation detail, which these filings do not provide
- **Compare against:** Other refiners' divestiture prices and timing; Midstream growth capital plans and distribution coverage
