## Key facts

- Assets entering a GP-led continuation vehicle have generated over 4x invested capital on average, Hamilton Lane says. (self-reported) [cites: 1792689220500857162]
- GP-led transactions accounted for 10–14% of all buyout fund distributions in 2025, per Hamilton Lane. (self-reported) [cites: 1792689220500857162]
- Permira agreed to sell Octus Intelligence to LSEG in an all-cash deal valued at $3.535 billion, subject to regulatory approvals. (self-reported) [cites: 1792676710019588757]
- Permira says it has distributed $13 billion to investors over the last 12 months; Octus is its sixth strategic exit of 2026. (self-reported) [cites: 1792676710019588757]

## The rebrand

Hamilton Lane published a note on October 22 arguing that GP-led continuation vehicles have outgrown their old label. The traditional view of these vehicles as a niche secondary sleeve is, in the firm's telling, outdated: they now carry risk-and-return profiles that look like direct buyouts. The firm's numbers: assets entering a continuation vehicle have already generated over four times invested capital on average; first-quartile continuation vehicles outperformed first-quartile buyout funds of the same vintage in every year from 2018 through 2025; and continuation vehicles generally deliver higher distributions-to-paid-in than traditional buyouts. [cites: 1792689220500857162]

The market structure backs the pitch. GP-led deals were 10–14% of all buyout fund distributions in 2025, and the capital overhang ratio sits near a historic low of 1.0x — more deals chasing relatively less dry powder. Hamilton Lane says the volume of opportunities it screens is roughly twice the volume of deals that actually close, and GPs now commit over 9% of continuation-vehicle capital themselves. Keith Brittain, the firm's co-head of investments, calls the strategy a buyout allocation on a shorter fuse, with high GP alignment and a compelling return profile. [cites: 1792689220500857162]

The economics come with strings the traditional buyout funds lack. Continuation vehicles often use a tiered carry structure with a higher hurdle rate than traditional buyouts — the premium for a shorter fuse — and Hamilton Lane notes the market's growth cadence has cooled: GP-led volume grew faster in 2018 to 2021 than between 2022 and 2025. ## The receipts

The same day brought a live example of the liquidity machine working. Permira agreed to sell Octus Intelligence to the London Stock Exchange Group in an all-cash deal valued at $3.535 billion, subject to customary regulatory approvals. Octus tripled its annual recurring revenue during Permira's hold and now serves more than 40,000 subscribers; Permira says the deal is its sixth strategic exit of 2026 and that it has distributed $13 billion to investors over the last twelve months. [cites: 1792676710019588757]

Sponsors are still buying, too. H.I.G. Capital acquired a majority stake in L4A, an Italian firm working in airport airside infrastructure, water infrastructure and district heating, planning to grow it through organic initiatives and add-on acquisitions while the existing shareholders and co-CEOs stay on. H.I.G., which says it manages $75 billion in capital, is the latest reminder that deployment hasn't stopped while distributions flow. [cites: 1792675667084522762]

Octus also acquired FinDox, Sky Road and LevPro under Permira's ownership and executed over four million automated classifications in 2026. [cites: 1792676710019588757]

## The allocator problem

As the machinery gets more complex, the people allocating to it are rethinking how they do diligence. A Meketa note published the same day argues artificial intelligence is rapidly changing how institutional investors gather information, evaluate managers and make decisions — Grace Corbett's formulation, quoted in the piece — and that AI is reshaping what an investment team looks like and what it costs. Emerging managers, Meketa notes, are building infrastructure from scratch against a moving standard. [cites: 1792702489217073307]

This suggests the thread connecting the three: private markets are industrializing their liquidity. GP-led deals stop being a fallback and start being a strategy; exits flow to strategic buyers at scale; and allocators rebuild their diligence around AI because the old checklists can't keep up with the plumbing. For bankers, the implication is that the secondary market is no longer the waiting room for the primary one — it's a desk of its own. [cites: 1792689220500857162, 1792702489217073307]

## What is still unresolved

- The regulatory approval timeline for the Octus–LSEG transaction.
- Long-term performance data for continuation vehicles remains limited versus traditional buyout track records, per Hamilton Lane.
- How allocator due-diligence standards evolve as AI reshapes investment-team infrastructure.

## Decision card
